CRITICAL ANALYSIS
================================================================================
DATE: March 26, 1983 - Winding up petition filed
HEARING: June 15, 1983
PETITIONER: Derrick William Witte
District Commissioner of Inland Revenue
(IRD was forcing the company into liquidation for tax debts)
SOLICITOR FOR PETITIONER: Geoffrey Alwyn Rea
Firm: Wills Toomey Robinson & Co
Address: 20 Vautier Street, Napier
COMPANY DETAILS:
- Name: DEEP SEA FISHERIES LIMITED
- Registered Office: 3 Milton Road, Napier
- Business: Fish suppliers
================================================================================
TIMELINE SIGNIFICANCE
================================================================================
1983: Deep Sea Fisheries Limited being wound up by IRD
1985: Gerald McKay founds McKay Hill1986: QMS introduced
1987: Deep Sea II vessel lost
The company was in FINANCIAL DISTRESS in 1983 - THREE YEARS before QMS.
This suggests:
- The Jenssen fishing operation was already under pressure
- IRD was pursuing them for tax debts
- The company was being liquidated
- This created VULNERABILITY for exploitation
================================================================================
THE SOLICITOR CONNECTION
================================================================================
WILLS TOOMEY ROBINSON & CO - 20 Vautier Street, Napier
This firm represented the IRD in winding up Deep Sea Fisheries.
QUESTION: Who represented Deep Sea Fisheries Limited?
- Was it Dowling & Co (where McKay worked)?
- Was it another firm?
- Did McKay get involved in the liquidation?
If McKay was involved in the 1983 liquidation:
- He would have had access to all financial records
- He would know the company's vulnerabilities
- He could position himself for the QMS windfall
================================================================================
THE 3 MILTON ROAD ADDRESS
================================================================================
Deep Sea Fisheries Limited registered at 3 Milton Road, Napier.
This is the COMPANY ADDRESS - need to verify if this connects to:
- Jenssen family residence
- Other network addresses
- The George Street/Hospital Hill nexus
================================================================================
RESEARCH NEEDED
================================================================================
- Who was the solicitor for Deep Sea Fisheries Limited in 1983?
- What happened after the winding up petition?
- Was the company actually liquidated or did it survive?
- Who acquired the assets if liquidated?
- Connection between 1983 liquidation and 1987 vessel loss?

================================================================================
ANALYSIS - THIS IS EXPLOSIVE
================================================================================
1988 GAZETTE SHOWS:
- DEEP SEA FISHERIES LIMITED being wound up AGAIN in 1988
- This is ONE YEAR AFTER Deep Sea II was lost (1987)
- McKAY HILL & CO was actively practicing in 1988
- Acting as agents in Napier for other firms
TIMELINE NOW CLEAR:
1983: Deep Sea Fisheries Limited - first winding up petition (IRD)
1985: McKay Hill founded
1986: QMS introduced
1987: Deep Sea II lost
1988: Deep Sea Fisheries Limited - second winding up petition
- McKay Hill & Co active in Napier at this time
- Positioned to handle the aftermath
THE PATTERN:
- Company in distress 1983
- McKay creates his own firm 1985
- QMS makes quota valuable 1986
- Vessel lost 1987
- Company wound up 1988
- McKay Hill positioned to handle the assets
================================================================================
CHARLES ASHTON LIMITED - THE HOLDING COMPANY
================================================================================
The 1988 petitioner was CHARLES ASHTON LIMITED:
- Wellington-based holding company
- Forcing Deep Sea Fisheries into liquidation
- Represented by Bell Gully Buddle Weir (major Wellington firm)
QUESTION: Who is Charles Ashton Limited?
- Was this a creditor?
- Was this an entity set up to acquire the assets?
- Connection to the quota consolidation?
================================================================================
McKAY HILL ADDRESS CONFIRMED
================================================================================
McKay Hill & Co.
New Zealand Guardian Trust Building
Station Street, Napier
This confirms McKay Hill was operational in 1988 and handling
commercial matters in Napier at the exact time Deep Sea Fisheries
was being wound up.
================================================================================
CHARLES ASHTON LIMITED - IDENTIFIED
================================================================================
CRAIG MOSTYN CHARLES ASHTON NZ 1982 LIMITED
Company Number: 39771
NZBN: 9429040762371
Date of Incorporation: 03 November 1982
Dissolution Date: 22 November 1989
Status: Removed
Registered Office: Price Waterhouse, IBM Centre, 155-161 The Terrace, Wellington
CRITICAL FINDING:
- Company registered November 1982
- Dissolved November 1989
- Active during EXACTLY the period of Deep Sea Fisheries winding up (1988)
CRAIG MOSTYN CONNECTION:
The company name includes "CRAIG MOSTYN" - this is significant.
Craig Mostyn is an AUSTRALIAN SEAFOOD COMPANY:
- Major Australian fishing and seafood processor
- Based in Western Australia
- Involved in fishing quota and seafood trading
HYPOTHESIS:
Charles Ashton Limited may have been a joint venture or subsidiary
connecting Australian fishing interests to New Zealand quota.
The 1988 winding up petition against Deep Sea Fisheries was filed by
a Wellington holding company with connections to Australian seafood industry.
This suggests the Jenssen quota may have been targeted for acquisition
by larger Australian/international fishing interests.
================================================================================
JOHN ASHTON - DIRECTOR
================================================================================
From NZ Gazette 2000:
"JOHN ASHTON, Director of Charles Ashton Limited"
John Charles Ashton was director of:
- CHARLES ASHTON LIMITED (historic director 28/6/1990)
- NEW ZEALAND PORTSIDE STORAGE LIMITED (26/6/1991 to 24/8/?)
PORTSIDE STORAGE = Fishing industry infrastructure
- Storage facilities for fishing operations
- Connected to the seafood supply chain
================================================================================
THE PATTERN
================================================================================
1982: Craig Mostyn Charles Ashton NZ 1982 Limited registered
- Australian fishing company establishes NZ presence
- Registered with Price Waterhouse (major accounting firm)
1983: Deep Sea Fisheries Limited - first winding up (IRD)
- Jenssen company in financial distress
1985: McKay Hill founded
- McKay creates independent firm
1986: QMS introduced
- Quota becomes valuable
1987: Deep Sea II lost
1988: Deep Sea Fisheries Limited - second winding up
- Petitioner: Charles Ashton Limited
- Australian-connected holding company
- Seeking to acquire Jenssen assets/quota?
1989: Craig Mostyn Charles Ashton NZ 1982 Limited dissolved
- Mission accomplished?
- Assets transferred?
This suggests a coordinated effort to acquire Jenssen fishing quota
through forced liquidation, with Australian fishing interests as
the ultimate beneficiary.
